1. Acceptance of Terms

By accessing or using our Services, you:

• • Confirm that you are legally capable of entering into a binding contract.
• • Accept these Terms and agree to be bound by them.
• • If acting on behalf of a business, confirm you are authorized to bind that business to these Terms.

2. Services Overview

ConvergenSEE.ai provides:

• • A proprietary platform (CHNC) for location data optimization, content and audit management, and marketing automation.
• • Marketing strategy, performance marketing, listings management, and analytics services.

Specific services and deliverables may be further defined in project-specific Statements of Work (SOWs).

3. Client Content & License

You retain ownership of any content, data, or materials you provide ("Client Content"). You grant Convergensee.ai and its affiliates a worldwide, royalty-free, sublicensable license to use, store, modify, distribute, or publish Client Content solely for the purpose of delivering agreed-upon Services. We reserve the right to adapt or correct Client Content (e.g., formatting or accuracy) to meet quality standards or publisher/platform requirements.

4. Platform Access & Use

Subject to full payment and compliance, you are granted a limited, non-exclusive, non-transferable right to access and use CHNC and associated Services during the term specified in the applicable SOW. You agree to:

• • Keep login credentials confidential.
• • Inform us of unauthorized access or misuse.
• • Refrain from copying, reverse-engineering, reselling, or disrupting the platform.

5. Payments & Billing

• • Fees for Services are defined in each SOW.
• • Payments are due within the timeline agreed upon. Late payments may incur 1.5% monthly interest.
• • Fees are exclusive of all applicable taxes. Clients are responsible for such taxes unless a valid exemption is provided.
• • Fees are non-refundable unless explicitly stated.

6. Third-Party Integration & Distribution

Some Services may involve distribution of Client Content to third-party platforms such as Google, Facebook, Apple Maps, and others ("Publishers"). You acknowledge:

• • Placement, visibility, and formatting of Client Content may vary per Publisher policies.
• • ConvergenSEE.ai cannot guarantee publication or display.

7. Data Privacy & Security

We implement commercially reasonable measures to protect Client data and proprietary information. However, you acknowledge the inherent risks of data transmission and agree that:

• • You are responsible for the accuracy and legality of data shared.
• • We are not liable for data loss, system breaches, or misuse unless due to our gross negligence.

8. Intellectual Property

All intellectual property related to CHNC and ConvergenSEE.ai Services, including but not limited to software, processes, content, trademarks, and documentation, remain the exclusive property of ConvergenSEE.ai. You may not use our brand elements or materials without prior written consent.

9. Indemnification

You agree to indemnify, defend, and hold harmless ConvergenSEE.ai, its directors, employees, and agents from any claims, liabilities, or damages arising from:

• • Your breach of these Terms
• • Unauthorized use of Services
• • Violation of third-party rights using our platform or Services

10. Limitation of Liability

To the maximum extent permitted by law:

• • We are not liable for indirect, incidental, or consequential damages.
• • Our total liability for all claims shall not exceed the total amount paid by you to us in the 6 months preceding the claim.

11. Termination

Either Party may terminate the Agreement:

• • Upon 30 days written notice for convenience.
• • Immediately, in case of material breach not cured within 15 days.

Upon termination:

• • All unpaid dues become immediately payable.
• • Access to the CHNC platform will be revoked.
• • You must cease all use of our Services and proprietary content.

12. Force Majeure

We are not liable for failure to perform due to causes beyond our control, including natural disasters, cyberattacks, outages, or regulatory changes.

13. Modifications to Terms

We reserve the right to update these Terms at any time. Continued use of Services after such changes implies your acceptance.

14. Governing Law & Jurisdiction

These Terms are governed by Indian law. Disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

15. Miscellaneous

• • Severability: If any clause is unenforceable, the rest remain in effect.
• • Entire Agreement: These Terms and applicable SOWs constitute the full agreement.
• • No Agency: These Terms do not create a partnership or joint venture.
• • Assignment: You may not assign rights without our written consent.
